Terms of Service

These Terms of Service ("Terms") govern your access to and use of certly.sbs (the "Site") and any programs, coaching, digital content, or services we offer (collectively, the "Services"). By using the Site or purchasing Services, you agree to these Terms.

1) Eligibility & accounts

• You must have legal capacity to enter a contract in your province/territory. If you use the Services for a business, you represent you have authority to bind that business.
• You are responsible for maintaining the confidentiality of your account credentials and for activity under your account.

2) Purchases, pricing, taxes, and billing

• Prices are shown at checkout (typically in CAD unless stated). We may use third-party payment processors; your payment details are handled by them under their terms.
• Applicable taxes (including GST/HST/PST/QST, where required) and any disclosed fees are added at checkout.
• If a subscription or auto-renewing plan is offered, the renewal price, billing frequency, and how to cancel will be disclosed before you confirm purchase, and your payment method will be charged each cycle until cancelled.
• To cancel a subscription (if applicable), follow the cancellation controls in your account (if available) or email [email protected]. Cancellation stops future renewals; it does not reverse prior charges unless required by law or stated in a written refund policy for that offer.

3) Refunds

Refund terms (if any) are shown at checkout or in the written offer for the specific program/coaching. Unless required by Canadian law or expressly stated for an offer, completed services and accessed digital content may be non-refundable. If you believe a charge is incorrect, contact us before initiating a chargeback.

4) Acceptable use

• Do not use the Site to break laws, infringe rights, transmit malware, interfere with security, or attempt unauthorized access.
• Do not copy, scrape, reverse engineer, or resell the Services except as permitted in writing by us.

5) Intellectual property

We and our licensors own the Site and Services content (including text, materials, videos, and trademarks). Subject to these Terms and your payment (if applicable), we grant you a limited, non-exclusive, non-transferable license for personal/internal use during the access period. No rights are granted by implication.

6) Disclaimers

The Site and Services are provided "as is" and "as available." We do not guarantee outcomes, earnings, certification, or that the Services will be uninterrupted or error-free. Content is educational and is not legal, medical, accounting, or other regulated professional advice. Some warranties may not be excluded under applicable Canadian consumer laws.

7) Limitation of liability

To the maximum extent permitted by applicable law, Certly Skills Studio Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits/revenues/data. To the extent liability cannot be excluded, our total liability for claims relating to the Services is limited to the amounts you paid us for the applicable Service in the 3 months before the event giving rise to the claim.

8) Indemnity

You agree to indemnify and hold us harmless from claims arising out of your misuse of the Site/Services, violation of these Terms, or infringement of rights.

9) Dispute resolution, governing law, and venue

Please contact us first so we can try to resolve concerns informally. Unless consumer protection laws in your jurisdiction provide otherwise, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein, and you agree to the exclusive jurisdiction of the courts located in Ontario for disputes arising from these Terms or the Services.

10) Changes & termination

We may update these Terms from time to time by posting the revised version on the Site. We may suspend or terminate access if we reasonably believe you violated these Terms. Sections intended to survive (e.g., IP, disclaimers, limitation of liability, dispute terms) will survive termination.
